The agreement, in language you can actually check.
What you are buying, what it costs, how to stop, and what happens to your records if you do. If a clause here needs a lawyer to understand it, we have written it badly.

This is a draft. It sets out the terms we intend to trade on and every figure on it is the published one, but a Nigerian lawyer has not settled the wording. Where a detail is not decided yet - the registered company, the governing law, what happens to a prepaid year - this page leaves it out and says so, rather than printing something plausible. Clause 1
Who this agreement is between.
Takadar is built and supported by a small team in Nigeria. Write to hello@takadar.com and you reach the people who build it.
The registered company that will contract with your school - its name on the CAC certificate, its RC number and its address - is being settled with our lawyer, and it goes here in full before any school is asked to sign. We would rather leave the line empty than put a plausible-looking company in it. In the meantime this agreement is between that company, which trades as Takadar and is called “we” and “us” below, and the school that opens an account, called “you”.
The person who arranges the account confirms that they are authorised to act for the school - in most cases the proprietor, the principal or a group owner. Everyone your school invites afterwards uses Takadar under this same agreement.
Clause 2
What your subscription includes.
You choose one of three plans - Core, Standard, Complete - and pay for it per student, per month. What each plan contains is listed on the pricing page and forms part of this agreement.
- You get every module in the plan you choose, for every member of staff you invite, with no per-user licence to buy on top.
- You get improvements as they ship. There is no upgrade fee for a new version, and we do not move you onto a costlier plan for growing.
- You get support by email at hello@takadar.com, answered by a person.
- You keep your own records. Nothing in this agreement gives us ownership of your students’, guardians’ or staff data.
Optional modules can be added to your plan and are charged at the published rate per student per month from the month they are switched on.
Clause 3
Billing: per student, per month, in naira.
You are billed in naira for the students who are actively enrolled that month. Nothing is quoted in dollars and nothing is converted at a rate you did not agree.

- The billing cycle
- You are billed for a calendar month, counting the students actively enrolled in that month. A student who graduates or transfers drops off the following month’s invoice on their own - you do not have to renegotiate anything, and you do not pay for a child who has left. The subscription runs for all 12 months of the year, including the holidays, because your results, transcripts, arrears and admissions stay live between terms.
- The monthly minimum
- Our published minimum monthly charge is ₦18,000, or ₦27,000 for a university, polytechnic or college. Below roughly 90 students on Core, the per-student rate alone does not cover the cost of running and supporting your school, so we quote the minimum instead. Like every rate below, it is confirmed in writing before your first invoice.
- How your rate is agreed
- The rates in the table, the volume bands published on the pricing page and the minimum above are our commercial policy - the terms on which we quote, applied by a person rather than worked out by the software. Anything the pricing calculator shows you is an estimate. We confirm your rate in writing before your first invoice, and that written rate is what you are charged. We do not quote one school a lower rate privately because it argued harder.
- Paying for a year
- Our published policy for 12 months paid up front is 15% off. Billing itself runs one calendar month at a time, so a prepaid year is arranged with us directly and written into your quote. What happens to the unused part of a prepaid year if you cancel part-way through has not been settled yet, so it is not published here - we agree it with you in writing before you prepay anything.
- Fees your parents pay
- Record cash and bank transfers, or let parents use supported Flutterwave methods online. Takadar verifies online payments before issuing a numbered receipt and takes no cut of what your school collects. School fees paid by your parents are yours: online payments settle straight to your school’s account, and they are never held by us as part of your subscription. Cash and bank transfers your bursar records carry no charge.
- Paying online
- An online payment carries the card or bank processing charge, passed through at cost. Your school chooses who pays what: the school absorbs the processing charge and parents pay exactly the fee; parents pay the processing charge and Takadar’s fee on top; or parents pay only Takadar’s fee and the school absorbs the processing charge. In Nigeria, Takadar’s fee is ₦50 under ₦20,000, ₦100 under ₦50,000, ₦200 under ₦100,000, ₦300 under ₦200,000 and ₦500 from ₦200,000 per payment. Parents see every charge before they pay, Takadar’s fee is never taken from what your school receives, and a new school pays none in its first term. There is no Takadar fee in Côte d’Ivoire or Senegal, where online payments are processed at cost.
- Tax and late payment
- Published rates are exclusive of VAT, which is charged where it applies by law. If an invoice goes unpaid we will tell you before anything changes about your account, and your records stay exportable throughout.
Clause 4
Getting started is done with us.
Takadar is in early access. Guided setup with your team. No setup fee and no lock-in contract. Your school is set up alongside us rather than through a sign-up form: we load your students with you, walk your staff through their first intake, first fee cycle and first set of report cards, and answer the phone while you do it.
Your plan, your rate and the month your billing starts are agreed in writing before the first invoice is raised, so nothing is charged that you have not already seen and accepted.
Everything you enter while your school is being set up is yours and stays in your account. You do not start again from an empty school when billing begins.
Clause 5
Cancel any month. No notice period.
There is no minimum term, no lock-in contract and no setup fee. If you want us to move your records across from your old system, that is quoted separately before any work starts.
- You can cancel in any month, and you are billed for that month and nothing after it.
- You do not owe a notice period, an exit fee or the balance of a year you have not used.
- You keep access until the end of the month you have already paid for.
- You can come back later without paying to set up again.
Clause 6
Your records after you cancel.
Your records are yours. Export your students, fees and payment history whenever you want them, on any plan.
Cancelling does not change that. When you cancel, your account is closed to new activity and your records stay where they are while you export what you need and finish the term’s paperwork. We have not fixed a retention window yet, so we do not publish one: nothing of yours is deleted on a timer today. You can ask us to delete your records by writing to hello@takadar.com from an address on your school’s account, and we will tell you when it is done.
What we hold, who can see it and how you get it out is set out in full on the privacy policy , which forms part of this agreement.
Clause 7
How Takadar may be used.
Short version: run your school with it, and look after the children’s records inside it as carefully as you would a paper file in your office.
- Use Takadar to run your school, and give an account only to someone who works for you or is a parent or student of your school.
- Keep your staff’s sign-in details private, and close an account the same week somebody leaves your employment.
- Send messages your parents would expect from their child’s school, and nothing they would not.
- Upload only records your school is entitled to hold, and correct them when a parent tells you they are wrong.
- Do not attempt to reach another school’s data, probe the software for weaknesses without telling us first, or resell access to a school that is not yours.
If something here is broken badly enough to put another school’s data or a child’s safety at risk, we may suspend the account responsible while we sort it out, and we will tell you why the same day.
Clause 8
What we are and are not responsible for.
We will keep Takadar running and your records safe, and we will tell you honestly when something has gone wrong. What follows is the shape of the clause, not its final wording.
- What we commit to: keeping the software available, keeping your records separated from every other school, and telling you promptly if any of your data is exposed.
- What we cannot control: your internet connection, your bank, and what your own staff do with the accounts you give them.
- The cap: the ceiling on what we can be liable for, normally expressed against what you have paid us over a defined period.
Clause 9
Governing law.
The governing law and the courts that would hear a dispute are being settled with our lawyer, alongside the registered company in clause 1, and they are printed here once they are decided. We are not going to name a state simply because it sounds reasonable. If your school needs both fixed before it signs anything, write to hello@takadar.com and we will put them in writing for you first. Before anybody involves a lawyer, that email is also the fastest way to sort out whatever has gone wrong.
Want this settled before you start?
Some schools want a signed agreement and a data processing agreement in hand before a single student is uploaded. That is a reasonable thing to ask for, and while these terms are still in draft it is the right thing to ask for.
